Ryan C. LaRiviere, Esq. practices in the areas of Residential and Commercial Real Estate Law as well as Corporate Law including General Corporate Matters, Business Transactions, Financing, and Dissolution. Clients range from first-time real estate purchasers or entrepreneurial start-up enterprises to larger privately held companies where he ushers them through each phase of their growth, serving as primary outside counsel. He advises on issues such as the ideal form of organization, ownership and buy-sell agreements, debt and equity financing, and dispute resolution.
Beyond the start-up phase, Ryan also advises on business expansion opportunities, such as marketing and licensing agreements, private equity and venture capital financing, and joint ventures. He assists clients with the business and legal aspects of negotiating transactions, enhancing business value, and business succession planning.
Real Estate Law
In particular, Ryan represents lenders and borrowers in commercial real estate financing transactions with an emphasis on multifamily and healthcare loans insured by the Federal Housing Administration and securitized through GinnieMae. In addition, Ryan regularly advises lenders and developers on a myriad of issues related to financing, creditor rights, and transactional matters.
When business clients are acquiring, selling or leasing real estate assets, he will also assist with the negotiations as well as structure the optimal form of organization to meet the client’s objectives.
Before moving to Tennessee and joining Kennerly Montgomery & Finley, Ryan was the founding and managing partner of the Law Office of Ryan C. LaRiviere, LLC in Brookfield, Connecticut where he specialized in business development, real estate, and other general counsel services. Ryan’s other previous legal experience includes serving as a law clerk for the Village of Port Chester and as an international tax extern for ITT, Inc, formerly ITT Corporation.
Ryan is a member of the American Bar Association, Connecticut Bar Association, and Greater Danbury Bar Association. He is in the process of joining the Knoxville Bar Association and Tennessee Bar Association.
He is licensed to practice law in the State of Connecticut, State of Tennessee (under Tenn. R. Sup. Ct. 10.07), and United States Tax Court.
Ryan received his Bachelor of Business Administration in Finance with distinction, summa cum laude, and his accelerated Master of Business Administration in Finance with distinction, summa cum laude, from Mercy College in Dobbs Ferry, New York. He was awarded membership to Delta Mu Delta, an international honor society that recognizes academic excellence, and the National Society of Collegiate Scholars, a national non-profit academic honor society. He received his Juris Doctorate, cum laude, with a concentration in Business Law- Financial Service Compliance from the Elisabeth Haub School of Law at Pace University in White Plains, New York.
